# Alignment Is an Allocation of Work

Shared objectives become economically useful when partners agree who performs, pays for and controls the functions required to deliver them.

## Objectives Need an Operating Form

DSML's public Enduring Alignment principle concerns incentives, objectives and time horizons. Applied to an operating partnership, alignment is not demonstrated merely by both parties wanting growth. They must agree which work creates that growth, who is responsible for it and how the resulting benefits and burdens are allocated. Otherwise the same objective can produce incompatible decisions about price, investment, timing or service quality.

A useful partnership does not eliminate bargaining. It makes bargaining productive by distinguishing the functions each party supplies and the commitments each can reasonably make. This allows complementary capabilities to earn appropriate compensation without requiring every function to sit within one company. The economic test is whether the combined operating arrangement creates a better delivered product than realistic alternatives, after accounting for its coordination costs and the difficulty of changing partners.

## Production Near the Customer

Kolmar's July 2025 announcement reported completion and full operation of its second Pennsylvania plant, with stated annual capacity of approximately 120 million products. Capacity is an available production capability, not an order book. The event illustrates a commitment to local delivery infrastructure that can matter to brand customers seeking development and manufacturing support. Its value depends on how that capability is used, not simply where the building is located.

A manufacturing partner can contribute formulation knowledge, quality systems and a dependable production process. The brand contributes its product proposition and customer relationship. Their incentives overlap but are not identical: one may prefer longer production runs, while the other wants a flexible assortment. Alignment requires commercial terms and planning practices that recognise both needs. A broad promise to support brand growth cannot resolve the practical question of who bears the cost of a changed forecast.

## A Complementary Live Function

KQ and AEG's March 2025 joint release describes a multi-year arrangement in which AEG would oversee production of ATEEZ tours worldwide. That is a specific allocation of a live operating function. It does not establish a disclosed sharing percentage, guarantee a tour margin or transfer ownership of the artist to the production partner. The distinction between the artist relationship and event delivery is central to understanding the commercial arrangement.

A label can preserve responsibility for artistic development while using a partner's production and promotion capabilities. The partner may be better placed to coordinate venues, local teams and technical delivery across several markets. The label still needs enough operational understanding to evaluate that work. Delegation can reduce organisational burden, but it does not remove the need to monitor delivery, approve material changes and understand how performance receipts are settled.

## Risk Follows the Decision

An efficient arrangement places a decision with the party able to make it competently and gives that party an intelligible share of its consequences. If one party selects a production quantity while another absorbs all residual inventory, the first may have weak incentives to forecast carefully. If one controls a live specification while another bears every cost overrun, the same problem appears in a different form. Responsibility and exposure should be considered together.

Not every risk can be neatly assigned. Demand uncertainty can affect both parties, and unforeseen disruption may require joint action. The practical objective is to identify predictable categories of disagreement before the operating commitment is made. Change procedures, escalation rights and a shared information basis can be more useful than a general declaration of partnership. The public announcements do not disclose those mechanisms; they identify the work around which such mechanisms would need to operate.

## Information That Supports Cooperation

Partners need enough information to coordinate without demanding ownership of each other's entire business. A manufacturer needs credible demand plans and product specifications. A tour producer needs a deliverable calendar and technical decisions. The customer-facing party needs evidence that the promised work is being performed. Timely, relevant information reduces avoidable uncertainty and allows both sides to change plans while changes remain inexpensive.

Reporting can also become a source of conflict when parties measure different outcomes. A manufacturer may emphasise completed output, while the brand focuses on stock that customers actually buy. A live partner may report ticket collections while the label focuses on retained cash. A shared bridge between these measures makes cooperation more accountable. It does not require that every party have the same accounting system, only that important commercial transitions can be reconciled.

## A Relationship Worth Continuing

Long duration can justify investment in shared knowledge, but it can also entrench an arrangement after its usefulness declines. Enduring alignment should therefore include review and adaptation, not simply an indefinite commitment. Partners need a way to respond when scale, technology or customer requirements change. A relationship that cannot adjust may protect its formal structure while undermining the product it was intended to support.

The counterpoint is that frequent competitive switching can destroy useful learning and discourage partner investment. Stability has real economic value when it improves delivery. The appropriate balance is a continuing relationship with clear responsibilities and observable performance, rather than either permanent loyalty or automatic replacement. The Kolmar and KQ examples show different ways to assemble complementary functions. They support a philosophy of alignment through work and accountability, without establishing private terms or participation by DSML KGCF.

A further condition is the ability to exit or transfer work without making the customer bear unnecessary disruption. Manufacturing specifications, delivery records and performance information can have continuing usefulness beyond a single partner relationship. Their availability should be understood before a transition becomes urgent. This does not mean every partner must make itself instantly replaceable; investments specific to the relationship may deserve protection. It means that continuity should be designed as part of the commercial arrangement. The parties can then negotiate duration and compensation with a clearer understanding of both their dependence and their contribution to the delivered product.
